Our Los Angeles County incorporators have been receiving notices like this one recently. It seems that there are a few companies out there that send people who incorporate (not only Corporations, but also Limited Liability Companies, and even Limited Partnerships) notices that look official, requiring the payment of unnecessary fees. While technically it’s a solicitation, the appearance, the logo on the top par, the barcode and the due date make it seems official and can be misleading.
 
According to the website of the Secretary of State one of these companies, “California State Corporations” has been issuing fraudulent Certificates of Status. Only the Secretary of State can issue one. A Certificate of Status is a document issue by the State where an entity is incorporated determining whether such entity is in good standing or not.
